Replicon Initiate 7.5Meur Private Placement Process for SkyWeb Oy

24-11-2005 SkyWeb Oy received in September 2005 the broadband license based on UMTS TDD technology for whole Finland. Networks based on this technology are in use in various locations around the world. Latest license grant for similar 2 GHz UMTS TDD technology materialized in Japan on November 2005.

SkyWeb Oy offers for subscription, by institutional and other professional investors, shares for an initial maximum value of EUR 7.5 million.

The Offering, marketed in the form of a private placement to Institutional and Professional Private Investors only, will consist of an Issue of Shares for an initial maximum value of EUR 7.5 million. The Issue can be split into two. The size of the first private placement should be at least EUR 3.5 million. The second private placement should materialize latest by the end of summer 2006. The number of Shares issued will be decided later. The final decision on issuing Shares including the final offer price will be made as soon as the Company has received bids for this Private Placement or alternatively after the selling period of the Shares, on or about 15th of February 2006. No Shares or other securities are offered to the public, wherefore the Finnish Securities Act shall not apply to this Offering.
