In our private equity assignments, we may entertain (on behalf of our clients) offers of convertible bonds, common or preferred stock (either convertible or redeemable as well as participating and blank-check preferred stock) and provide all legal documentation necessary for full completion of the transaction in accordance with the Finnish Law. As professionals, we take an active role in structuring complex transactions and balancing the interests of all the parties involved in a financing arrangement. We seek to reach our solutions integrating all necessary parts of financially optimal instrument and legal documentation (including i.e. term-sheets, LOI’s, heads of agreements, terms and conditions, necessary certificates and articles of association).

Our experience enables us to address key issues and to protect the investors’ interests (including tailoring of preference and conversion features as well as anti-dilution formulas and exit routes), while at the same time taking a pragmatic approach to ensure that the deal is documented and completed on time.
